SOCIETY ACT CONSTITUTION & BY LAWS
1. The name of the society is The Minto Communications Society; in this documentation the term “Society” shall refer to The Minto Communications Society.
2. The purposes of the Society are to:
(a) own, operate and maintain high-speed internet communications equipment and facilities within the Upper Bridge River region of British Columbia, specifically the areas of Gun Lake, Gold Bridge, Tyax (Tyaughton) Lake, Gun Creek Road, Little Gun Lake, and Bralorne (when and if it is feasible), areas hereinafter referred to as “The Community”;
(b) provide high-speed internet service to members of this Society who have paid a monthly or annual subscription fee for the services provided by this Society;
(c) provide both AM and FM radio signals and television signals to the region as, when and if it is feasible to do so;
(d) provide emergency radio services to the community in coordination with the Provincial Emergency Program of the Government of BC and the Squamish-Lillooet Regional District when and if it is feasible to do so.
3. The Society shall operate as a not-for-profit society.
The bylaws of the society are those set up in Schedule B to the Society Act with the following variation, deletions and additions (the complete Bylaws are given in Appendix A):
1. Bylaw 3 of Part 2 – Membership be revised to: The members of the Society are the applicants for incorporation of the society, and those persons who subsequently become members, through an application process made in accordance with these bylaws and remain in good standing through the payment of an annual membership fee as determined by the Society.
2. Bylaw 10 of Part 2 is an addition:
Membership in the Society may be granted to any person who is a full or part-time resident of the community as defined in the Constitution.
3. Bylaw 42(e) of Part 7 – Duties of Officers be deleted and remaining 42 (f) be renumbered to 42 (e)
4. To Part 7 – Duties of Officers add new bylaw after Bylaw 45 and the remaining bylaws renumbered accordingly. New Bylaw 46 will read as follows:
The President must have custody of the common seal of the society.
5. Bylaw 63 of Part 12 – Bylaws is an addition:
Any person using any services of the Society shall be encouraged to become a member of the Society. Any person utilizing internet services must be a member in good standing of the Society; fees for internet services will be in addition to Society membership fees.
6. Bylaw 64 of Part 12 – Bylaws is an addition:
Any person using any services of the Society shall do so with the explicit understanding and agreement with the Society that the Society will not be held liable for any failure of services. The Society undertakes, however, to make every effort to provide continuous service of a high quality and to resolve any service issues in a timely manner.
7. Bylaw 65 of Part 12 - Bylaws is an addition:
The Society, at the sole discretion of the Directors, may employ individuals for duties consistent with the purpose of the Society; the Society at the sole discretion of the Directors, may contract with firms, businesses and/or organizations for the provision of services required by the Society.
8. Bylaw 66 of Part 12 – Bylaws is an addition
The Society at the sole discretion of the Directors may own, rent, lease equipment, materials, supplies, vehicles, buildings and real estate.
9. Bylaw 67 of Part 12 – Bylaws is an addition:
Fees for membership in the Society shall be determined and established annually by the Directors. All services offered by the Society shall be free of charge except internet services which shall be charged according to a fee schedule which shall be determined and/or revised by the Directors at any regular meeting of the Board of Directors.
